General Terms of Sale and Delivery
The terms defined below shall apply to all orders and supplies, except in special cases as agreed upon in writing by both parties.
Quotations Quotations are valid for 30 days from date of quotation and are subject to confirmation. The prices quoted are exclusive of value added tax and other related costs.
Orders Quotations made by PROCES-DATA A/S will not be binding on PROCES-DATA A/S, until they have been accepted by order confirmation, or an invoice has been forwarded. Orders are delivered at confirmed prices, subject to increasing prices due to changes in the trade conditions, duties, changes in exchange rate, supplies of raw materials, etc. Orders cannot be cancelled except with the written consent of PROCES-DATA A/S, and will be subject to a charge for any expenses incurred.
Terms of delivery PROCES-DATA A/S accepts no responsibility for late delivery of the goods due to obstructions caused by force majeure or any cause of whatsoever beyond the influence and control of PROCES-DATA A/S. Should the purchaser not abide by the agreed conditions of purchase and payment, PROCES-DATA A/S shall not be obliged to make further deliveries.
Compensation Compensation for delayed delivery shall only be made if agreed upon in writing.
Terms of payment 30 days net from date of invoice. The purchaser will not be entitled to hold back payment because of any counterclaims, which PROCES-DATA A/S has not accepted in writing. In case the amount is overdue, PROCES-DATA A/S will charge interest at 2% per month from the date on which the payment fell due.
Claims All claims, which are not covered by PROCES-DATA A/S' guarantee, must be made within eight days of receipt. Delivered goods shall not be returned, until permission is granted for such return.
Transportation EXW (Incoterms 2000) unless otherwise agreed.
Guarantee Within a period of 12 month from the date of delivery, PROCES-DATA A/S grants the following guarantee for all supplies: PROCES-DATA A/S undertakes to repair any defects resulting from faulty design, production, or material. PROCES-DATA A/S accepts no liability for defects arising from improper installation, faulty maintenance, and improper use. Defective material must be returned to PROCES-DATA A/S CPT, Silkeborg (Incoterms 2000), and the necessary repairs will be made promptly within the normal working hours. The purchaser shall settle all costs associated with the repairs, such as freight, travelling and living expenses. PROCES-DATA A/S are responsible for injuries on persons or damages on material resulting from defects and faults in material supplied and for services rendered to the extent that the responsibility can be imposed on PROCES-DATA A/S. However, PROCES-DATA A/S accepts no liability for working deficit, loss of profit or other similar losses. Disputes referring to sale, delivery and anything related hereto, cannot be subject to any trial or process of law but shall be settled by arbitration in Copenhagen Arbitration, according to the regulations of arbitration applying in Denmark.
